I. Available Products List:
Angel Maternity is a lady fashion brand to meet the needs of mom-to-be and other groups. Seasonal upgrading and modification will be applied in most of our stock in every 3-month, as well as some “core products” will keep being available for longer period with continuing improving according to the feedback from the market.
Angel Maternity will publish the available products list with Online Order System (OOS) and Wholesale Notice
· Online Order System (OOS)
OOS is a tailored online mall for our Retailers to solve the asynchronous problem of the stock information sharing which is a common puzzle in fashion industry. In OOS, the Retailers can check the product descriptions, pictures, and available color/size synchronously with the Warehouse management team, and make the orders more conveniently. OOS will replace previous “E-catolog”.
*A trial of OOS has been available in this stage, please check here for details. The OOS Beta will be launched around April 2010 and a formal version will come in June 2010.
· Wholesale Notice
Angel Maternity will also publish a Wholesale Notice to keep the Retailers updated on pricing policy and any other relevant information.
In Wholesale Notice, all the available products will be divided into 3 groups:
Group A: Seasonal Items (Pricing Protection applies)
Group B: Clearance Items (No Return/Exchange/Credit except quality problem)
Group C: Normal Items (any other items)
Wholesale Notice will be published in Angel Maternity website.
II. Pricing Protection for Seasonal Items
Pricing Protection will apply on the Seasonal Items. No retailer, including Angel Maternity itself, is allowed to sell at more than 20% off in 3 months from the first publish date of the related Wholesale Notice. If Angel Maternity feels the need to breach this guideline, or move items out of Seasonal Items within 3 months due to the market feedback, the Retailers can choose to return for mentioned stock even if outside our regular 1 month return policy period. If the Retailer breaches this guideline, Angel Maternity reserves the right to no longer supply the retailer.
*Exclusion: 1) VIP benefit schemes are excluded. 2) Combined or bulk promotion with Angel Maternity’s other products, such as “buy Item A then you can get Item B with half price”, are excluded. 3) eBay Auction is excluded. (Angel Maternity sells the Seasonal Items ONLY at RRP in eBay, except the rare situations for marketing testing/researching purpose.).
III. Minimum Orders
Minimum order quantities need to exceed 15 pieces. Any orders under 15 pieces will attract $20 handling fee plus postage*.
*Exclusion: the handling fee will be waived if the quantity of an order is less than 15 pieces due to the asynchronous or wrong stock information in Online Order System (OOS).
IV. GST
All prices are quoted Ex GST, and are applicable to all purchases.
V. Shipment
All available orders from the Retailers will be processed and shipped out in 48 hours and the Retailers will get an email notification, in which include those items suffering low stock or out-of-stock.
A flat rate of shipment will apply to any order within Australia (GST inclusive):
· 1-15 pieces, $14.90
· 16-30 pieces, $21.90
· 31- 50 pieces, $29.90
· 51-70 pieces, $39.90
· 71-100 pieces, $49.90
· 101 and over $59.90

VI. Pickup
24 Hours notice is required for pickups. Please quote order Number on arrival.
VII. Return, Exchange & Credit
All claims in respect to goods supplied by Wholesale (including the Clearance Items with quality problem) must be made within 30 Days from the invoice date. Only goods in original condition will be accepted. A credit note will be issued into the Retailer account after the returning being checked.
All Clearance Items published in Wholesale Notice are not allowed for return, exchange and/or credit except the quality problem.
Angel Maternity will pay the returning postage ONLY for the quality problems.
VIII. Credit Limit & Payment
A Retailer will be issued a purchase credit after its first paid $1000 in total amount. The credit limit is usually $1000 in the initial stage and will be modified according to the payment history of the Retailer (up to $5000). Angel Maternity may change or withdraw the credit facility at its own discretion without prior notice.
The credit facility will be issued only after the Retailer fills the application form and provide its Credit Card information.

Payments accepted: Credit Card (Amex excluded) and Direct Deposit. The advance payment(s) should be paid for the first order (if it is over $1000) or first orders (till the total paid amount reaches $1000). Afterwards the payment terms are 21 days from date of invoice for repeat customers with an agreed credit limit.

IX. Bonus Offer
• If your monthly total paid invoices exceed $2,000(after all the returns have been deducted, paid within due date), there will be a 5% credit rebate applied.
• If the monthly total paid invoices exceed $3,000(after all the returns been deducted, paid within due date), there will be a 10% credit rebate applied.
• If the monthly paid invoices exceed $5,000(after all the returns been deducted, paid within due date), there will be a 15% credit rebate applied.
• All bonus credit rebates will be issued in the each following month.
X. Acceptance and changes to Terms & Conditions
You acknowledge and accept that your role as an Angel Maternity Retailer indicates your acceptance of these Terms and Conditions.
These are the current Terms of Use. They replace any other terms/conditions for the Angel Maternity published to date. Angel Maternity may at any time vary the Terms and Conditions without your consent. If Angel Maternity varies the Terms and Conditions, Angel Maternity will notify you by publishing the updated version at the top of related webpage in Angel Maternity website. By your use of the Angel Maternity Website after any variation has taken effect, you are taken to have accepted the new Terms and Conditions.
